TariffWatch Terms of Service

These Terms govern your use of TariffWatch, a service operated by Digital Empire Holdings LLC (30 N Gould St Ste N, Sheridan WY 82801). By using the Exposure Checker, requesting a comment letter, or (once available) subscribing, you agree to these Terms and to our Privacy Policy.

1. Service description

TariffWatch (TariffWatch) is a paid data and workflow service that estimates Section 232 tariff exposure from publicly available Federal Register, USITC, and CBP data, provides an HTS-code watchlist with change alerts, and helps you draft a public comment letter for submission to regulations.gov during an open comment window.

TariffWatch is a compliance advisory tool, NOT legal advice, NOT customs classification advice. TariffWatch is not a licensed customs broker under 19 CFR 111, not a filer of record, and not a law firm. Compliance decisions remain the responsibility of the importer and their customs broker or trade attorney. TariffWatch does not guarantee that any exposure estimate, classification, or comment letter will be accepted by CBP, BIS, or Commerce.

2. Acceptable use

You agree not to:

  • Submit a comment-letter request under a business name you are not authorized to represent (see the authorization attestation required at submission — this may also constitute fraud, defamation, or a false statement to a federal agency under 18 U.S.C. § 1001).
  • Attempt to reverse-engineer, resell, or white-label the exposure-estimation engine.
  • Use the service to build a competing tariff-compliance product.
  • Abuse rate limits, attempt to bypass metering, or interfere with other customers' use of the service.
  • Submit false, fraudulent, or misleading business or import information.

3. Subscription and billing

TariffWatch is offered as (a) a monthly HTS-watchlist subscription at $29/month billed in advance from your signup date, and (b) a $499/year Founding Trio bundle covering twelve months of watchlist access plus the assisted comment-letter workflow. Prices in effect at checkout are the prices that apply to that purchase; we email active subscribers at least thirty (30) days before any price increase takes effect on their plan.

You may cancel any recurring subscription at any time from your account settings. Cancellation stops future billing and you retain access to the paid tier through the end of the current paid period. The HTS-watchlist tier is billed monthly in whole months and is not pro-rated on mid-cycle cancellation — the refund policy in Section 4 governs any refund of the current or immediately prior charge.

4. Refund policy

The following refund matrix governs every TariffWatch purchase (this matrix is the same one published in /legal/refund-matrix and referenced from the /tariffwatch/pricing page):

  • Monthly HTS-watchlist ($29/mo): cancel within thirty (30) days of any charge for a full refund of that charge, no questions asked. Not pro-rated mid-cycle; the refund is of the whole most-recent monthly charge. One refund per account/lifetime.
  • Founding Trio ($499/yr): cancel within thirty (30) days of the initial charge for a full refund; after day 30, a pro-rated refund of the unused portion of the twelve-month term is available on written request to support@digitalempireholdings.com (calculated as days remaining ÷ 365, applied to the amount paid).
  • Comment-letter assisted-drafting fees: refundable only if the letter has not yet been generated and delivered. Once delivered, the fee is non-refundable because the AI-assisted drafting work has been performed.
  • Refunds arrive on the original payment method within five to ten business days of approval. Chargebacks initiated before contacting support@digitalempireholdings.com waive the "no questions asked" refund policy.

5. Limitation of liability

TariffWatch is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Digital Empire Holdings LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, tariff overpayment, or penalties arising from an exposure estimate, comment letter, or import decision. Our total liability for any claim relating to the service is capped at the greater of $100 or the amount you paid us in the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Digital Empire Holdings LLC and its officers, directors, employees, and agents from and against any third-party claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any content, business information, product data, or filing you submit to the service.

We will indemnify, defend, and hold you harmless from and against any third-party claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of our gross negligence or willful misconduct in operating the service. Our aggregate indemnification obligation under this paragraph is capped at the same amount as the Limitation of Liability section above.

Each party will (i) promptly notify the other of any claim triggering an indemnification obligation, (ii) allow the indemnifying party sole control of the defense and settlement (provided no settlement admits liability of the indemnified party without its written consent), and (iii) reasonably cooperate in the defense.

7. Force majeure

Neither party is liable for any delay or failure to perform to the extent caused by an event beyond that party’s reasonable control, including acts of God, war, terrorism, riot, civil disorder, epidemic or pandemic, government action, labor disputes, internet backbone outages, denial-of-service attacks, or the unavailability or degraded performance of any third-party service on which the service depends (including but not limited to Vercel hosting, Supabase database, Stripe payment processing, Resend email delivery, or upstream API providers).

Where the service is unavailable for more than seventy-two (72) consecutive hours due to such an event and the affected customer requests it in writing to support@digitalempireholdings.com, we will credit the pro-rated portion of that outage against the customer’s next invoice. This credit is the customer’s sole and exclusive remedy for force-majeure-caused unavailability.

8. Data ownership

You retain all ownership rights to the HTS codes, business information, and comment-letter context you submit to TariffWatch. We use it solely to provide the service to you and do not sell it. Note: if you submit a comment letter to regulations.gov, the business name, email, HTS codes, and estimated customs value in that letter become part of the public federal docket — that publication is governed by regulations.gov, not by TariffWatch. See our Privacy Policy for full detail on collection, retention, and your deletion rights.

9. Our intellectual property

Digital Empire Holdings LLC retains all right, title, and interest in the TariffWatch software, exposure-estimation engine, comment-letter drafting workflow, brand, and all related intellectual property. Nothing in these Terms transfers any of that IP to you; you receive only a limited, revocable right to use the service as intended.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

11. Dispute resolution

Any dispute arising out of or relating to these Terms or the service will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. YOU AND Digital Empire Holdings LLC EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Arbitration will take place in Wyoming or another mutually agreed location, or may be conducted remotely by written submission or videoconference where the arbitrator permits.

12. Sub-processors

TariffWatch uses the following sub-processors to operate the service (in addition, comment-letter drafting is assisted by a Claude/Sonnet reasoning process operated by Anthropic — see our Privacy Policy):

  • Supabase (database hosting)
  • Stripe (payment processing)
  • Resend (transactional email delivery)
  • Vercel (application hosting)
  • PostHog (product analytics)
  • Sentry (error monitoring)

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be emailed to active users at least thirty (30) days before taking effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
